Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you, whether individually or on behalf of an entity (“you”), and Cynlie.ai (“Cynlie”, “we”, “us”, or “our”), governing your access to and use of cynlie.ai and all related websites, applications, and services (together, the “Service”). By accessing or using the Service you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must stop using the Service immediately. 1. Definitions
- User means any individual or entity that accesses or uses the Service.
- Account means the registered account required to access certain features.
- Content means any information stored or displayed through the Service.
- Subscription means the recurring, fee-based arrangement for accessing the Service.
- Inbound Communications means calls, texts, chats, or emails our AI answers on your behalf.
- Outbound Communications means calls, texts, or emails our AI initiates on your behalf.
- AI Agent means an instance of the AI you configure and deploy through the Service.
- AI-Generated Content means text, audio, or other output produced by the Service from your inputs.
- Affiliate means a participant authorized by Cynlie to refer customers to the Service under our Affiliate Program.
2. Eligibility
The Service is intended only for users who are at least eighteen (18) years old and have the authority to enter into these Terms. By using the Service you represent that you meet these requirements.
3. Description of the Service
Cynlie is a 100% AI communications platform. Depending on your plan, the Service may include an AI receptionist that answers calls 24/7, web chat, two-way SMS, an AI email agent, a built-in CRM, calendar and booking, web forms, ticketing, dashboards, outbound calling and messaging, automation sequences, and integrations with third-party applications. Features, availability, and limits may vary by plan and may change over time.
4. Account Registration
To access certain features you must create an Account and provide accurate, complete information and keep it current. You are responsible for safeguarding your credentials and for all activity under your Account. We may refuse service, suspend, or terminate Accounts at our discretion.
5. Platform Role and Your Responsibility
Cynlie is a technology platform provider. We supply the tools and infrastructure that enable AI-assisted communications. You are solely responsible for how you use the Service, including the content of all communications, obtaining any required consents from recipients, honoring Do Not Call and opt-out requests, respecting permitted contact times and frequency, and ensuring your use complies with all applicable laws. Cynlie does not provide legal advice; you should consult your own counsel regarding compliance.
6. Prohibited Uses
You agree not to use the Service for any unlawful, fraudulent, harmful, harassing, defamatory, or infringing purpose; to distribute spam, malware, or destructive code; to collect or transmit personal information without consent; to interfere with the Service or its security; to contact emergency lines; to impersonate any person or entity; or to build a competing product. We may limit calling or messaging frequency to prevent abuse.
7. Acceptable Use
Your use is also subject to our Acceptable Use Policy, which is incorporated into these Terms. We have sole discretion to determine whether content or activity violates these Terms and may remove content or suspend Accounts for violations.
8. Compliance Requirements
You may only use the Service to communicate with recipients who have provided prior express consent or with whom you have an established business relationship, as defined by applicable law. You must transmit accurate Caller ID information and must not block or misrepresent your identity. You are responsible for compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), the CAN-SPAM Act, and analogous state and international laws. While we may offer compliance-assistance features, they are conveniences only, are not legal advice, and do not shift responsibility to us.
9. Subscription Terms
The Service is provided on a subscription basis. Current fees are shown on our pricing page and may change at our discretion. Subscriptions are billed in advance on a monthly or annual basis and renew automatically until canceled. Applicable taxes may be added. Repeated failed payments may result in suspension or cancellation after notice and an opportunity to update payment details.
10. Usage Fees and Billing
In addition to Subscription fees, your plan may include usage-based charges (for example, for voice minutes or messages) as described on our pricing page. Usage fees are calculated periodically and billed together with your Subscription. Except as required by law, fees are non-refundable. We may change fees with prior notice.
11. Free Trial and Cancellation
We may offer free trials from time to time. If you continue after a trial, your Subscription begins and your payment method is charged. You may cancel at any time through your Account settings or by contacting support; access continues until the end of the current billing period.
12. Refund Policy
The Service is a digital subscription and fees are generally non-refundable. We may grant exceptions at our discretion based on the circumstances. Refund requests should be submitted in writing to support.
13. Intellectual Property
Cynlie retains all rights, title, and interest in the Service and its underlying technology. You retain ownership of the data you provide and of the specific AI Agents and AI-Generated Content you create, subject to our underlying rights in the platform. You grant Cynlie a non-exclusive, worldwide, royalty-free license to use data and content generated through your use of the Service to operate, improve, and develop the Service, in accordance with our Privacy Policy. AI-Generated Content may not always be accurate; you are responsible for reviewing it before relying on it.
14. User Content
You are responsible for the content you create, upload, or configure. You represent that you have the rights to that content and that it does not violate these Terms or any law. You grant us a license to host and process your content solely to provide and improve the Service.
15. Data Security
We use commercially reasonable measures to protect your information but cannot guarantee absolute security. Any transmission of information is at your own risk.
16. Confidentiality
Each party will protect the other party’s proprietary information with at least reasonable care and use it only to fulfill obligations under these Terms.
17. Service Modifications and Availability
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, and may impose usage limits. We are not liable for any modification, suspension, or unavailability of the Service.
18. Third-Party Links and Services
The Service may link to or integrate with third-party services we do not control. We are not responsible for those services, and your use of them is at your own risk and subject to their terms.
19. Feedback
Any suggestions or feedback you provide become our property, and we may use them without restriction or compensation.
20. Indemnification
You agree to indemnify, defend, and hold harmless Cynlie and its officers, directors, employees, and agents from any claims, damages, penalties, and expenses (including reasonable attorneys’ fees) arising from your use or misuse of the Service, your content or contact lists, or your breach of these Terms or of any applicable law, including telemarketing, privacy, biometric, and right-of-publicity laws. This obligation survives termination.
21. Limitation of Liability
To the fullest extent permitted by law, Cynlie will not be liable for any indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service, under any theory of liability, even if advised of the possibility. You assume all risk associated with outbound communications you initiate through the Service.
22. Disclaimer for AI-Powered Interactions
The Service uses artificial intelligence to answer and make communications, schedule, and respond to inquiries. We do not warrant that AI output will be accurate, complete, or appropriate for every situation, and we are not liable for the performance, statements, or actions of the AI, or for any decisions you make based on AI-Generated Content. The Service assists, and does not replace, human judgment.
23. Warranties and Disclaimers
The Service is provided “as is” and “as available.” Except as expressly stated, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
24. Dispute Resolution
Any dispute relating to these Terms or the Service will be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English in the State of Indiana, USA. Either party may seek interim injunctive relief from a court of competent jurisdiction.
25. Changes to These Terms
We may modify these Terms at any time. If a change is material, we will provide reasonable notice. Continued use after changes take effect constitutes acceptance of the revised Terms.
26. Termination
We may suspend or terminate your access at any time, without notice or liability, including for any breach of these Terms. Upon termination your right to use the Service ceases.
27. General Provisions
Notices must be in writing. Neither party is liable for delays caused by events beyond its reasonable control. These Terms are the entire agreement between the parties. If any provision is found unenforceable, the remainder stays in effect. You may not assign these Terms without our consent, except in a merger or acquisition.
28. Additional Outbound Communication Terms
For any outbound calls, texts, or emails you initiate through the Service, you represent that you have obtained all necessary consents, that you maintain and honor Do Not Call and opt-out lists, that you communicate only during legally permitted hours, that you obtain recording consent where required, that you transmit accurate Caller ID, and that you are solely responsible for the content of those communications. We may monitor outbound activity for compliance and may suspend the feature if we detect violations.
29. Sequences and Outbound Automation
“Sequences” means any feature that schedules or automates outbound calls, texts, emails, or other communications. In addition to Section 28, you may not use Sequences for unsolicited outreach to contacts who have not consented; for voice cloning or impersonation of any real person without explicit written authorization; to impersonate any business, individual, or government entity; or to bypass any compliance feature. For every contact in a Sequence, you must be able to produce evidence of valid prior consent or an established business relationship. You are solely responsible for maintaining your own Do Not Call and opt-out records. We may monitor, pause, throttle, or disable any Sequence we reasonably believe violates these Terms or applicable law, without liability.
30. Affiliate Program Terms
Cynlie operates an Affiliate Program (not a reseller or white-label program) that lets approved participants earn commission for referring new customers. The following terms apply to Affiliates in addition to the rest of these Terms.
- No guarantee of earnings. We make no representation about the income, success, or results any Affiliate may achieve. Results depend on your own efforts and factors outside our control.
- Eligibility and application. You must apply and be approved to participate. We may approve or decline any application at our discretion.
- Commissions. Approved Affiliates earn recurring commission on qualifying referred subscriptions of 15% on qualifying referred subscriptions for up to twelve (12) months from the date the referred customer first subscribes, subject to a referral attribution window of 30 days. We may adjust rates, terms, and the attribution window with notice.
- Payment. Commissions are paid on the schedule published in the Program. We may withhold or reverse commissions for refunds, chargebacks, fraud, self-referrals, or violations of these Terms.
- Honest promotion. You must promote Cynlie truthfully and may not make false or misleading claims. You must clearly and conspicuously disclose your affiliate relationship in accordance with the FTC Endorsement Guides and any applicable advertising and disclosure laws.
- No spam. You may not promote Cynlie through unsolicited email, SMS, calls, or other communications, or through deceptive, infringing, or unlawful methods.
- Trademarks. We grant a limited, revocable, non-exclusive license to use approved Cynlie brand assets solely to promote the Service. All intellectual property remains ours.
- No agency. Participation does not create any employment, agency, partnership, or joint venture, and you may not represent yourself as Cynlie or bind Cynlie in any way.
- Termination. We may modify, suspend, or terminate the Affiliate Program, or any participant, at any time and for any reason, without liability. Upon termination you must stop using our brand assets and promoting the Service as an Affiliate.
- Compliance. You are solely responsible for complying with all laws applicable to your promotional activities.
